Terms & Conditions

These Terms & Conditions (the “Terms”) govern your use of cleholistichealth.com (the “Site”) and every purchase you make from us. The Site is operated by Commodity-Link.com Enterprises Ltd., doing business as CLE Holistic Health (“CLE,” “we,” “us” or “our”), of Vancouver, British Columbia, Canada.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, and legally able to enter into a binding contract to use the Site or purchase from us. By placing an order you confirm that the information you provide is true, accurate and complete, and that you are authorized to use the payment method you provide.

2. Health disclaimer

Our products are natural health products. Where a Natural Product Number (NPN) is shown, the product is registered by Health Canada for the use stated on its label. Our products are not intended to diagnose, treat, cure or prevent any disease. For customers in the United States: these statements have not been evaluated by the Food and Drug Administration.

Content on the Site, including articles, product descriptions, FAQs and customer reviews, is provided for general information only. It is not medical advice and is not a substitute for advice from a qualified health care practitioner. Always consult your doctor or pharmacist before using any supplement, especially if you are pregnant or breastfeeding, have a medical condition, have allergies, or take prescription medication. Never stop or change a prescribed medication without medical advice.

You are solely responsible for reading the product label, following the recommended dose and directions, and checking the ingredients for anything you may be sensitive or allergic to. You use our products at your own risk.

3. No guarantee of results

People respond differently to natural health products because of biology, lifestyle, diet, medical history, consistency of use and other factors. We do not guarantee any specific result or outcome. Testimonials, reviews and study results describe the experiences of particular individuals or study groups and are not a promise or prediction of your results.

4. Product information, pricing and errors

We work to keep product descriptions, images, ingredients and prices accurate, but we do not warrant that all information on the Site is complete, current or error-free. We reserve the right to correct any error, inaccuracy or omission, and to change prices, products and availability at any time without notice. If a product is listed at an incorrect price or with incorrect information, we may refuse or cancel any order for that product, even after it has been confirmed and your payment method has been charged, in which case we will refund the amount charged.

5. Orders, acceptance and payment

• Your order is an offer to buy. An order confirmation email does not mean we have accepted your order. Your order is accepted only when we ship it.
• We may refuse, cancel or limit any order, or limit quantities per person, household, payment method or address, at our sole discretion, including for suspected fraud, unauthorized or high-risk transactions, resale, or errors.
• We may require additional information to verify your identity or payment before processing an order.
• All prices are in U.S. dollars unless stated otherwise. Shipping charges and applicable taxes (including 5% GST on orders shipped within Canada) are added at checkout.
• Products are sold for personal use only. Resale, including on Amazon, eBay or other marketplaces, is prohibited without our written agreement. Distributor and wholesale inquiries can be sent through our Contact page.

6. Promotions and discount codes

Discount codes and promotions (including welcome offers such as WELCOME10) are limited to one use per customer unless stated otherwise, cannot be combined with other offers unless stated, have no cash value, cannot be applied to past orders, and may be changed or withdrawn at any time. Free or bonus items included in a promotion have no refund value. We may cancel orders or reverse discounts where we believe a promotion has been misused, for example through multiple accounts, false information or resale.

7. Shipping, title and risk of loss

Orders ship from Vancouver, British Columbia, Canada. Shipping times are estimates only and are not guaranteed. To the fullest extent permitted by law, title to and risk of loss of the products pass to you when we deliver your order to the shipping carrier. After that point, we are not responsible for carrier delays, lost, stolen or misdelivered packages, customs inspections, border processing, or delays caused by weather or other events outside our control, although we will help you file a claim with the carrier.

You are responsible for providing a complete and accurate shipping address, and for all customs duties, import taxes, brokerage fees and compliance with the import rules of your country. Orders that are refused, unclaimed, held or confiscated by customs, or returned because of an incorrect address are not eligible for a refund of shipping charges, duties or fees. 8. Returns and refunds

Returns and refunds are governed by our Money-Back Guarantee & Return Policy. In summary: unopened, sealed products in resalable condition may be returned within 90 days of the original order date with prior return authorization; opened or used products, shipping charges, duties and promotional items are not refundable; and refunds are issued only after the returned products are received, inspected and approved.

9. Chargebacks and payment disputes

You agree to contact us at info@cleholistichealth.com and give us a reasonable opportunity to resolve any concern before you initiate a chargeback, payment dispute or reversal with your bank, card issuer or payment provider.

You acknowledge that dissatisfaction with results, individual product response, carrier or customs delays, and failure to follow our Return Policy are not valid grounds for a chargeback. If a chargeback is filed, we may submit your order details, payment and fraud-check records, tracking and delivery confirmation, communications with you and your acceptance of these Terms to the payment processor and your financial institution. Unjustified, fraudulent or bad-faith chargebacks may result in cancellation of pending orders, refusal of future orders, and recovery of the disputed amount and associated fees to the extent permitted by law.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Site, its content and our products are provided “as is” and “as available,” without warranties or conditions of any kind, whether express, implied or statutory, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, accuracy or non-infringement. We do not warrant that the Site will be uninterrupted, secure or free of errors, viruses or other harmful components. No advice or information, whether oral or written, obtained from us creates any warranty not expressly stated in these Terms.

11. Limitation of liability

To the fullest extent permitted by law, CLE, its directors, officers, employees, agents, affiliates, suppliers, contractors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Site, our products or these Terms, whether based on contract, tort (including negligence), product liability or any other theory, even if we were advised of the possibility of such damages. This includes, without limitation, damages arising from product misuse, failure to follow label directions, allergic reactions or sensitivities, interactions with medications, dissatisfaction with results, and shipping or customs delays.

To the fullest extent permitted by law, our total liability for any and all claims arising out of or relating to the Site, our products or these Terms is limited to the amount you actually paid us for the specific product that gave rise to the claim.

12. Indemnity

You agree to indemnify, defend and hold harmless CLE and its directors, officers, employees, agents, affiliates, suppliers and contractors from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to your use or misuse of the Site or our products, your breach of these Terms, your violation of any law or the rights of any third party, or any content you submit to the Site.

13. Intellectual property

All content on the Site, including text, articles, product names, formulas, logos, trademarks, graphics, photos, videos, packaging designs and software, is owned by or licensed to CLE and is protected by Canadian and international intellectual property laws. You may view and print Site content for your personal, non-commercial use only. Any other copying, reproduction, distribution, modification or commercial use without our prior written consent is strictly prohibited.

14. Reviews and content you submit

If you submit a review, comment, photo, testimonial or other content, you confirm that it is truthful, reflects your own experience and does not infringe anyone's rights. You grant us a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce, edit, publish and display that content, together with your first name and initial, in any media for any purpose, including marketing. We may moderate, refuse or remove any content at our discretion.

15. Prohibited use

You agree not to: use the Site for any unlawful or fraudulent purpose; provide false information; misuse promotions; resell our products without authorization; interfere with the Site's security or operation; use bots, scrapers or other automated tools to access the Site; upload viruses or harmful code; or post content that is false, misleading, defamatory, infringing or offensive. We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms.

16. Third-party services and links

The Site uses third-party services such as Shopify, payment processors, shipping carriers, email and live-chat providers. Your use of those services may be subject to their own terms and privacy policies. Links to third-party websites are provided for convenience only. We do not control and are not responsible for any third-party website, service or content.

17. Electronic communications

By placing an order or contacting us, you consent to receive communications from us electronically, including order confirmations, shipping notices and customer service messages, and you agree that these communications satisfy any legal requirement that they be in writing. Marketing emails are sent only with your consent, and you can unsubscribe at any time using the link in any email.

18. Events beyond our control

We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, extreme weather, pandemics, labour disputes, carrier or postal disruptions, customs or border actions, supplier shortages, government actions, power or internet failures, or cyberattacks.

19. Governing law, disputes and time limit

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to the Site, our products or these Terms will be brought exclusively in the courts located in Vancouver, British Columbia, and you submit to the jurisdiction of those courts.

To the fullest extent permitted by law: (a) any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred; and (b) all claims must be brought in your individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding, and you waive any right to a jury trial.

20. Termination

We may suspend or terminate your access to the Site, cancel pending orders or refuse future orders at any time, without notice, if we believe you have breached these Terms or acted fraudulently or abusively. Sections that by their nature should survive termination, including those on disclaimers, limitation of liability, indemnity, intellectual property and governing law, will survive.

21. General

These Terms, together with the policies referred to above, are the entire agreement between you and CLE about their subject matter and replace any prior agreements or communications. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will stay in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer these Terms without our written consent; we may assign them at any time. Headings are for convenience only. In these Terms, “including” means “including without limitation.”

22. Your statutory rights

Nothing in these Terms excludes or limits any right or remedy that you have under applicable consumer protection law that cannot lawfully be excluded or limited. Where the law of your place of residence does not allow a provision of these Terms to apply, that provision applies only to the extent permitted.

23. Changes to these Terms

We may update or replace these Terms at any time by posting the revised version on the Site and changing the effective date above. The Terms in effect when you place an order apply to that order. Your continued use of the Site after changes are posted means you accept the revised Terms.
